CORPORATE GOVERNANCE


 

Commitment to Corporate Governance

 

Finance Bank Zambia Limited is committed to ensuring good corporate governance. The bank believes that good corporate governance enhances shareholder value. Finance Bank aims at complying with best international practices on corporate governance. Adherence to corporate governance principles is articulated in a number of corporate documents. The Articles of Association of the bank define the respective roles of management, the board of directors and shareholders in the administration of the bank. The bank has standard written rules for the internal operation of the boards of directors, a corporate governance charter, and a code of conduct for directors and rules on business ethics for staff, all of which aim at ensuring transparency and accountability. The board of directors has adopted Bank of Zambia Corporate Governance guidelines to guide its corporate governance framework. The bank's governance practices are also guided by the Basel Committee standards on corporate governance. The composition of the board includes executive, non-executive and independent directors. Non-executive directors always constitute a majority of the board.

 

 BOARD COMMITTEES

 

 1. Risk Committee

 

Composition

The Committee is composed of  four non-executive directors and the Chief Executive Officer/Deputy Managing Director. Members have good knowledge of business, finance, banking,   general management and credit. The Head of Risk serves as Secretary to the Committee.

 

 Responsibilities:

  • Participates in the determination and definition of policies and guidelines for the approval of credit, operational, market/price and other risks within the bank; defining acceptable risks and risk acceptance criteria;

  • Sets and reviews credit approval limits for management;

  • Reviews and ratifies operational and credit policy changes initiated by management;

  • Ensures compliance with the bank's credit policies and statutory requirements prescribed by the regulatory or supervisory authorities; 

  • Reviews periodic credit portfolio reports and assesses portfolio performance; 

  • Reviews all other risks i.e. technology, market, insurance, reputation, regulations, etc.

  • Ensures compliance with all applicable laws, regulations and operating standards.

 

2. Audit Committee

 

Composition

Membership is composed of four non-executive directors and Director Audit, the Chief Executive Officer/ Deputy Managing Director are in attendance upon invitation, where appropriate. All members have business knowledge and skills and familiarity with accounting practices and concepts. The Manager Audit serves as secretary to the committee.

 Responsibilities:

  • Reviews internal controls including financial and business controls;

  • Reviews internal audit function and audit activities;

  • Facilitates dialogue between auditors and management regarding results  of audit reviews;

  • Makes proposals with regard to external auditors and their remuneration;

  • Works with external auditors to review annual financial statements before full board approval;

 

3. Loans Review Committee

 

Composition

The committee is composed of four non-executive directors, the Chief Executive Officer, Deputy Managing Director and Executive Director Credit. Members have business knowledge and skills in accounting and credit management. Assistant Director  Credit  serves as Secretary.

 Responsibilities:

  • Reviewing and approving credit related strategies and policies for the Bank.

  • Reviewing and monitoring the Bank's lending and credit related activities.

  • Approving loans submitted to the Committee for approval.

  • Monitoring concentrations of credit by product, industry and geographic area

  • Approving asset quality standards with respect to all lending areas, including but not limited to, standards for loan concentrations and liquidity.

 

MANAGEMENT COMMITTEES

 

1.  Executive Committee

 

Composition

The Executive Committee is comprised of the Chief Executive Officer, Deputy Managing Director and Executive Directors. Managing Director designates Secretary of the Committee. 

 Responsibilities

  • Is responsible to the board and plays an important role in the bank's corporate governance structure.

  • Manages the broad strategic and policy direction of the bank, submits recommendations to the board for approval where necessary, and oversees their implementation.

  • Has decision - making powers in specific areas of bank management. In particular,   works with and assists the Chief Executive Officer to:  

  • Define and develop bank's strategic plan ;

  • Confirm alignment of individual  plans with overall bank strategy

  • Track and manage strategic and business performance against plan ;  

  • Implement bank policy and decisions ;

  • Make recommendations on various issues relating to staff ;

  • Track and monitor progress and accomplishments on major bank initiatives and projects at affiliate level ;

  • Articulate appropriate response to regulations, government policies  and other such issues across the bank ;

  • Articulate policies for advancing bank objectives ;

  • Make important decisions in areas where delegation of authority is granted.

 

 2.  Management Committee [MANCO]

 

Composition

Management Committee consists of the Chief Executive Officer, Deputy Managing Director, Executive Directors, Directors,  and other members upon invitation.

 

Responsibilities

In addition to the day-to-day management of the bank's operations, the role of the Management Committee includes the following: 

  • Managing the strategic objectives of the bank's operations in line with strategy

  • Defining overall business goals and objectives for the bank's operations

  • Ensuring alignment of operating plans with overall bank strategy

  • Approving business unit direction and strategies

  • Making decisions on operating plans and budgets

  • Reviewing the financial reporting and control framework

  • Tracking and managing bank strategic and business performance against plan

  • Tracking and monitoring progress and accomplishments on major initiatives and projects

  • Articulating appropriate response to regulation, government policies, and other such issues in the country

  • Articulating policies for advancing business objectives   

 

3.  Country Credit Committee

 

Composition

The Country Credit Committee is composed of the Chief Executive Officer, Deputy Managing Director, Executive Directors- Credit, Finance, Retail Banking & Operations, Corporate Banking and Assistant Director Legal. Assistant Director Credit serves as secretary of this committee.

 

Responsibilities:

  • Implementation of the Bank's credit risk management policies and ensuring that procedures are put in place to manage and control credit risk and the quality of the portfolio.

  • Develop and recommend credit risk management policies for approval by the board.

  • Implement the risk management policies

  • Manage, monitor and control credit risk;

  • Develop and implement appropriate management information systems to permit the effective analysis and the sound and prudent management and control of existing and potential credit risk exposure;

  • Monitor and control the nature and composition of the bank's credit portfolio;

  • Manage impairments back to health;

  • Develop an internal credit risk rating model;

  • Review and assess the credit portfolio and credit risk management programme.  

 

4. Asset Liability Committee

 

Composition

This committee is composed of the Chief Executive Officer, Deputy Managing Director, Executive Director Finance, Executive Director Credit, Executive Director Retail Banking and Operations, Director Treasury and International Banking and Assistant Director Treasury. Assistant Director-Management Accounting  serves as secretary of this committee.

 Responsibilities:

Specific functions of ALCO are:

  • To receive and review reports on liquidity risk, market risk and capital management

  • To identify balance sheet management issues like balance sheet gaps, interest rate gap/profiles that lead to under performance

  • To receive deposit pricing strategy for the local market

  • To review liquidity contingency plan for the bank.

  • To decide on the bank's pricing strategies

 

5. Risk Committee

 

Composition

This committee is composed of the Chief Executive Officer, Deputy Managing Director, Executive Director Retail Banking & Operations, Executive Director Credit, Head Risk Management & Compliance, Director Audit, Assistant Director Operations, Director Treasury. Manager Compliance serves as Secretary to the Committee.

 6. Audit Committee

 

Composition

The Audit Committee comprises of the Chief Executive Officer, Deputy Managing Director, Executive Director Retail Banking & Operations, Director Audit, Head Risk Management & Compliance. Manager Audit serves as secretary.

 

Responsibilities:

  • Reviews internal controls including financial and business controls;

  • Reviews internal audit activities;

  • Facilitates dialogue between auditors and management regarding results of audit reviews;

 

7.  Managers Conference

 

Responsibilities:

The Managers Conference is a collegial forum of all business heads and functional heads for reviewing and embedding bank strategy and policies. The Managers Conference is the primary co-ordinating body for bank cohesion and integration and the actualisation of bank strategy. The Conference is a consultative body & not a decision-making body.

The Conference plays a key role in facilitating the harmonization and integration of the bank strategy. Its role includes:

  • Sharing and disseminating information, experiences and best practices across the bank;

  • Initiating policies that encourage integration and promote the 'Centralisation concept';

  • Promoting integration and standardization of bank policies and procedures;

  • Promoting and monitoring compliance with bank operational standards;

  • Contributing to the formulation of bank policies;

  • Advising on local laws and regulation impacting on bank policies.

 

2. MANAGEMENT EXPERIENCE

David King - Managing Director & CEO
Dick King was Executive Director of Independent Solutions Group, the consulting arm of the Loita Group and was responsible for leading the consulting interests and Synergies across all the business divisions.

Mr. King joined FBZ from Siemens Business Services as a Director in the division, responsible for solution development and resource deployment at client sites. He has been the Programme Manager/Project Lead in numerous financial institution and Banking industry solutions over the past 10 years. He has developed a unique methodology and solution offerings that address the challenges of the modern organization wrestling with how to integrate appropriate "knowledge levers" into a business.

Prior to this, Mr. King was employed with Unihold Business Solutions and Nedcor amongst other leading institutions. He holds an M.Sc from Leeds Metropolitan University (distinction); a BA - Hons from Potchefstroom University (distinction); a B.Soc.Sc from University of Natal as well as having participated in various other Executive Development Management programmes.

 

Peter Lunn - Executive Director - Special Projects
Peter Lunn as Executive Director - Special Projects has extensive experience gained over 38 years in general operations, IT, Project Management and Payment Systems, in Europe, Africa (Kenya, Botswana, Malawi and Nigeria) and in Asia with Standard Chartered and other major regional and local financial institutions. Peter is a British National and an Associate of the Chartered Institute of Bankers, as well as Member of the British Computer Society.

 

Noel Nkoma - Executive Director - Corporate Banking and Marketing
Noel has been with the Bank since 1988 and during his career, has held various Management portfolios including Manager – Marketing & Public Relations, Director – Marketing & Public Relations, Executive Assistant to the Managing Director, Director – Branch Operations & Administration. After restructuring, he was re-assigned as Director – Institutional / Corporate Banking & Marketing with a prime focus to introduce corporate banking and grow the liabilities portfolio. In 2008, the Board elevated him to the position Executive Director responsible for Corporate Banking & Marketing.

Noel holds a Higher National Diploma in Business Administration from West London College, UK and a Master in Business Administration specialized in International Management from the Royal Holloway, University of London, UK. He is a Member of various Boards as Director including Zambia Daily Mail Limited, TAP Zambia Limited , and has previously served as Director on the ZESCO Board and has just retired from National Sports Council of Zambia.

S. Irshad Ali - Executive Director Credit
Has been with Finance Bank for 10 years and has been responsible for the following directorate: Director Lusaka Corporate (six months), Director Finance ( one year and six months ) Director Credit and International Banking ( five years and three months) Director Credit ( nine months).

He holds B.A, B.L. with a total banking experience of 37 years: 11 years in Pakistan and 26 years outside Pakistan in Sultanate of Oman, U.A.E, Egypt and Zambia, working in the following institutions: Habib Bank, Commerce Bank and Standard Bank (Pakistan) National Bank of Oman and Finance Bank Zambia Ltd (outside Pakistan).
 

Shazhad Ghazi - Director Information Systems & Technology
Shazhad has been with Finance Bank for ten years. Previous experience includes Automation Manager and Regional Co-ordinator BCCI in UK, Botswana & SA Region, France & FP Region and Cote D'Ivoire and Systems Manager ICI (Imperial Chemicals Industries) Pakistan Ltd, Assistant Manager EDP Shell Oil Pakistan. Shazhad holds a BA in Economics, Pakistan, Diploma in Computer Technology and System, Germany, Certificate in Fortran language, Pakistan. In addition, he has attended courses in RPG11 language, IBM Pakistan, DDE Systems, ICL Pakistan, UNIX, NCR South Africa.
 

Miles Sampa - Director Treasury and International Banking
Miles joined Finance Bank in 2003. Previously he was with Barclays Bank Zambia for seven years, ending up as Head of Treasury Sales. He is also Chairman of the Dealers Association of Zambia. Miles holds a Bsc, ACI (International Treasury Accreditation), MBA. 

 

Mohammad Assaduddin - Director Audit & Inspection
Joined Finance Bank in March 2005. He is a seasoned banker with more than twenty-eight years of experience in Corporate and Consumer Banking in Citibank, N.A., Pakistan and Overseas (Niger, London, Czech Republic, Tanzania, Zambia, Kenya, Algeria). The major assignments in these countries were to develop the structure and capacity of Audit Departments. He holds B.A. degree from University of Punjab, Pakistan. In addition, he has attended courses in Basic Management Skills Athens, Technology Audit Dubai, Bourse Game Manila and Performance Management Karachi.
 

Lutato K. Nyendwa - Director Human Resource
Lutato Nyendwa joined Finance Bank in August 2006 as Director Human Resource. Lutato has extensive experience in Human Resource Management, having worked with Zambia Revenue Authority (ZRA) in the capacities of Manager - Recruitment and Employee Relations, Manager - H.R Systems and Development, and finally as Manager - H.R Operations and Services.

 

Prior to ZRA, he headed the Human Resource Department at the Zambia Privatisation Agency which he had joined from National Breweries, Kitwe. Lutato started his career in Human Resource at Indeco Head office. He has also worked for the Anti- Corruption Commission and Ministry of Education. Lutato holds a Master of Business degree in Human Resource Management, a Graduate Diploma in Human Resource Development from Curtin University of Technology, Perth, Australia and a Bachelors degree from UNZA.

Alfred Roberts- Director Legal and Company Secretary

Alfred holds an LLB from UNZA and a Master of Law degree (LLM) from Cambridge University. He was admitted as an advocate of the High Court of Zambia in 1990 and a Solicitor of England & Wales by the Law Society of England in 1992. Alfred is a fellow of the Cambridge Commonwealth Society. Alfred joined the Bank in 1998 as Legal Counsel. 

 

 

Michael C Bwalya-Assistant Director Treasury

Michael joined the Bank in 1992 from Zambia Import & Export Bank. He has held various senior management positions as Manager-Foreign Operations and Senior Manager-Treasury & International Banking Division. He holds Bachelor of Arts degree in Economics (UNZA) besides having attended several training programmes both locally and internationally in Trade Finance, Credit and International Banking.

 

He was awarded a Dealing Certificate (ACI) in 2004. He is the current President of the Financial Markets Association of Zambia and member of the of the Boards of City of Lusaka Football Club and Board of Trustee of the In-House Pension Fund.

 

Ethel Chitanda - Assistant Director Finance- Business Analysis

Ethel has recently joined the bank as an Assistant Director Finance coming from Kingdom Financial Holdings where she was the group finance manager for the financial services group that owns a commercial bank, stock broking arm, discount house, asset management company, unit trusts and a micro lending company.  Prior to that position she was the Finance Manager for Kingdom Bank Limited. Ethel also has 4 years experience as an external auditor with HLB Ruzengwe and Company and Ernst and Young. 

 

Ethel holds a Bachelor of Business Administration in Accounting, Honors in Accounting Science UNISA, postgraduate certificate theory in accounting and is a qualified Chartered Accountant (Zimbabwe).  Ethel is a member of Institute of Chartered Accountants Zimbabwe (ICAZ) and Zambia Institute of Accountants (ZICA).

 

Charity Shitumbanuma - Assistant Director Credit

Charity Shitumbanuma joined FBZ as a Trainee Officer in August 1988 and has held different positions in the Bank. She was promoted to Assistant Director - Credit after having served as Senior Manager – Credit since 2005 and prior to that as Manager – Credit for Lusaka Main Branch since 1999. 

 

She holds a  BA Degree  from the  University of Zambia. Credit Management and Control knowledge and skills have been attained through various study programs, the major one of which was a World Bank Course in ‘Investment Evaluation and Long Term Finance’ conducted in Zambia and passed with honors, followed by a course in ‘Competitive Environmental Advantage’ in Milan, Italy by IFC.  She has also attended many courses and workshops under Zambia Institute of Bankers and other institutions.

Sylvia Rashida Madawaki - Assistant Director – Branch Operations
Sylvia has been with the Bank since 1993 and during her career, has held various Management portfolios in Branch Banking Operations mostly in Lusaka based branches. Her last appointment in Branch Banking was that of Senior Manager –Lusaka Corporate, and she later moved on a lateral basis as Senior Manager-Branch Operations. In November 2008 she was appointed as Assistant Director – Branch Operations.

Sylvia holds a BSC (Hons) in Applied Accounting with Oxford Brookes University and is a fully qualified ACCA.  She is a Council Member of Zambia Centre For Accountancy Studies (ZCAS) Alumni and Member of Zambia Institute of Chartered Accountants (ZICA) and Association of Chartered Certified Accountants(ACCA).

Rex Ellis - Executive Director Retail Banking and Operations                               Rex Ellis joined Finance Bank in September 2008 from Barclays Bank Zambia where he headed up the bank-wide Remediation Programme.  Prior to that he held a number of Regional positions within the Barclays Middle East and Africa cluster. Previous positions include COO, CFO, Risk, Compliance and Audit positions.

Rex has two degrees in Business Administration and is currently pursuing an MBA in Risk and Governance. Rex is a keen Aviator and is focusing on building his flying hours over weekends and on visits to the branches.

Chawanda Doris Longwe - Assistant Director - Retail Banking                           Doris has been with the Bank since 1999 and during her career, has held various Management portfolios in Reconciliation, Marketing, Audit and Branch Banking Operations as Branch Manager. Her last appointment in Branch Banking was that of Senior Manager –Ndola.

In March 2009 she was appointed as Assistant Director – Retail Banking. Doris worked for Zanaco for fourteen and half years where she joined the bank as a graduate trainee and subsequently held various branch and head office management portfolios and ended up as Branch Manager for Ndola West. Doris holds a BA (Hons) Politics from the University of Hull.She has attended various in-house, local and international courses in banking.

Utembele Simwinga- Assistant Director-Finance
Utembele Simwinga joined Finance Bank in December,2003. He has 19 years banking experience in International Banking, Treasury, Internal Audit and Finance. Before joining Finance Bank he worked for Standard Chartered Bank Zambia Limited, Meridien Biao Bank Zambia and Union Bank Zambia Ltd in several capacities.

Utembele holds a Certificate in Banking (UK), Diploma in Accountancy (ZDA) and is an Associate member of The Chartered Association of Certified Accountants (ACCA) and The Zambia Institute of Chartered Accountants (ZICA)
 

Norena M. Chiteba - Assistant Director – Marketing & Business Development
Norena joined the Bank in May 2009 as Assistant Director Marketing & Business Development. She previously worked for BancABC (formerly African Banking Corporation) for 7 years where she held several positions in Investment Services, Business Development and as Marketing and Communications Manager, a position she held before her appointment. She also had a stint to act as Group Head of Marketing and Communications at BancABC.

She holds an International Diploma in Sales Management and Marketing and has other qualifications in Accounting, Stock Brokers, Public Relations and advertising. She is an Associate Member of Zambia Institute of Marketing and Member of the interim committee of the newly established Zambia Public Relations Association (ZAPRA).She is currently pursuing a degree in Public Relations.She has attended various in-house, local and international courses in marketing and communications.

Mati Uddin Khan - Assistant Director - International Banking

Khan started his banking career in 1965 in Pakistan. He has been with the Bank since 1994 and has held various Management portfolios in International Banking.  He has previously worked for Habib Bank in Pakistan, BCCI Pakistan and Zimbabwe and Commercial Bank of Zimbabwe.

He is widely exposed in foreign exchange and international banking products. Khan holds a BA degree and a Certificate in Banking with Chartered Institute of Bankers Pakistan.
